Terms & Conditions

1. Introduction

RM Consultancy is a limited company providing strategic sales architecture, leadership development, and enablement services to startups and small‑to‑medium‑sized businesses.

These Terms & Conditions are designed to create clarity, fairness, and mutual protection for both RM Consultancy and our clients. They govern all engagements, workshops, and deliverables provided by RM Consultancy unless otherwise agreed in writing.

2. Scope of Services

RM Consultancy provides advisory services including, but not limited to, strategic consulting, workshop facilitation, leadership coaching, and the delivery of proprietary frameworks and methodologies (including HEX™ - Hiring Excellence Framework, Leadership Lens™, NUTCASE® and TAATAM®).

The specific scope, objectives, timelines, and deliverables for each engagement will be outlined in a written Statement of Work (SOW) or Proposal agreed by both parties.

All services are advisory in nature. RM Consultancy does not provide legal, financial, or HR advice unless explicitly agreed in writing.

3. Client Responsibilities

To enable effective delivery, clients agree to provide timely access to relevant stakeholders, information, data, and resources as reasonably required.

Unless otherwise agreed, clients are responsible for the internal implementation of recommendations and outcomes arising from the engagement.

4. Fees & Payment Terms

Fees are outlined in the relevant SOW or Proposal and are payable within 14 days of invoice unless otherwise stated.

Late payments may incur interest at a rate of 2% per month and may result in the suspension of services until payment is received.

5. Intellectual Property

All proprietary frameworks, methodologies, tools, materials, and collateral including TAATAM®, NUTCASE®, HEX™ , Leadership Lens™ Methodologies remain the exclusive intellectual property of RM Consultancy.

Clients are granted a non‑exclusive, non‑transferable licence to use agreed deliverables for internal business purposes only.

Reproduction, resale, external distribution, or commercial exploitation of any materials is prohibited without prior written consent from RM Consultancy.

Use of RM Consultancy’s proprietary frameworks in multiple business locations, regions, or offices is strictly prohibited unless expressly authorised in writing by RM Consultancy. Where multi‑location use is approved, delivery must be facilitated directly by RM Consultancy, and workshops may only be conducted in those locations by RM Consultancy or an RM‑approved facilitator.

6. Confidentiality

Both parties agree to treat all confidential and sensitive information shared during the engagement with care, discretion, and respect.

RM Consultancy will not disclose client information, data, or strategies to third parties without explicit permission, except where required by law.

7. Cancellation & Rescheduling

Workshops, sessions, or scheduled delivery cancelled with less than 72 hours’ notice may be subject to a 50% cancellation fee.

Rescheduling is permitted once per engagement, provided at least five business days’ notice is given.

8. Limitation of Liability

RM Consultancy shall not be liable for any indirect, incidental, or consequential loss or damages arising from the use of its services.

While RM Consultancy applies proven methodologies and best practice, outcomes depend on multiple factors beyond our control. No specific commercial or performance results are guaranteed.

RM Consultancy’s total liability under any engagement shall be limited to the total fees paid by the client for that engagement.

9. Termination

Either party may terminate an engagement with 30 days’ written notice.

Upon termination, all outstanding fees become immediately payable, and all intellectual property and confidentiality obligations remain in force.

Termination will be handled professionally and in good faith by both parties.

10. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

In the event of a dispute, both parties agree to seek resolution through mediation before pursuing formal legal proceedings.
